Loft&Timber is an online multivendor marketplace that enables independent furniture makers, home décor artisans, and select merchants (“Vendors”) to connect with customers seeking high-quality, handpicked, or bespoke furniture and home goods. By accessing or using our platform whether by browsing, creating an account, listing items, making purchases, or engaging with other features you agree to comply with these Terms and Conditions, our Privacy Policy, and any additional terms that apply to specific services provided by Loft&Timber.
These Terms form a legally binding agreement between you and Loft&Timber. If you do not agree with any part of these Terms, you must discontinue use of the website and associated services. Loft&Timber reserves the right to update or change these Terms at any time, and it is your responsibility to review them periodically.
2. Eligibility
To use Loft&Timber as a Buyer or Vendor, you must:
Be at least 18 years old, or the legal age of majority in your jurisdiction.
You must carry your own insurance as loft and timber is not responsible for any misunderstandings, loss, theft, or damage, that can occur, under any circumstance.
Have the authority to enter into binding contracts under applicable law.
Not be barred from using our services under any applicable law.
Possess a valid email address and provide accurate, current, and complete registration data.
For Vendors:
You must own or have legal rights to sell the products you list.
You must hold all licenses, permits, or certifications required to conduct your business legally in your country, state, or locality.
Loft&Timber reserves the right to verify the information provided by any user, deny registration, or terminate an account if we suspect fraud, legal noncompliance, or platform abuse.
3. Vendor Agreement
As a registered Vendor on Loft&Timber, you are responsible for maintaining a trustworthy and professional storefront. You acknowledge and agree that Loft&Timber acts as a facilitator and is not the legal owner of the items listed for sale. Vendors retain full ownership and liability for their products and services.
Vendor responsibilities include but are not limited to:
Providing accurate and complete information about your business and listings.
Representing your brand and products truthfully, without misleading claims.
Delivering all sold items in accordance with Loft&Timber's fulfillment policies.
Maintaining up-to-date inventory levels, pricing, and processing times.
Offering consistent customer service to ensure buyer satisfaction.
Responding promptly to buyer inquiries, returns, and complaints.
Handling returns and exchanges per your stated policy, and adhering to platform minimum standards.
Paying all applicable taxes and fees related to your sales and business operations.
Failure to meet these obligations may result in penalties, reduced visibility, withholding of payments, or account suspension or termination.
3.1 Prohibited Activities (Vendor Conduct)
Loft&Timber is committed to maintaining a fair, ethical, and high-quality marketplace. Vendors must adhere to the following standards of conduct and are strictly prohibited from:
Listing or selling counterfeit, unsafe, expired, stolen, or unauthorized goods.
Misrepresenting product origin, material, function, or certification.
Engaging in price manipulation, fake reviews, or click fraud.
Circumventing the Loft&Timber platform to solicit or conduct sales off-site.
Using customer data for purposes beyond fulfilling orders and post-sale service.
Discriminating against customers based on race, gender, religion, sexual orientation, or disability.
Uploading or using copyrighted, trademarked, or proprietary content without proper authorization.
Failing to fulfill orders as described, or persistently canceling orders without just cause.
Loft&Timber reserves the right to investigate any suspected violations and take corrective action, including but not limited to: warnings, delisting products, withholding funds, or terminating the vendor’s account without prior notice.
4. Product Listings
Each listing on Loft&Timber must meet high standards of accuracy and presentation to protect the integrity of the platform and provide a seamless experience for buyers.
Listings must:
Provide a clear HD first photo with no drawings or markings.
Include clear and accurate titles, detailed descriptions, dimensions, and materials.
Offer current and competitive pricing that reflects the value and design of the product.
Use original, high-resolution images that truthfully represent the product.
Display correct inventory levels, and shipping lead times.
Specify if items are made-to-order, customizable, or limited edition.
Clearly state applicable warranties, return conditions, or disclaimers.
Misleading or incomplete listings damage customer trust and may be removed without warning. Loft&Timber reserves the right to audit listings regularly and flag or deactivate those that do not meet our quality or compliance criteria.
5. Order Fulfillment & Shipping
Vendors are solely responsible for fulfilling orders placed through the Loft&Timber platform. This includes:
Confirming, preparing, and shipping orders within the timeframe you specify on each listing.
Using trackable and reputable shipping carriers whenever possible.
Packaging products professionally and securely to avoid damage in transit.
Including any necessary installation instructions, certifications, or disclosures.
Communicating proactively with the Buyer about delays, stock issues, or shipping updates.
If a Vendor repeatedly fails to fulfill or ship orders as promised, Loft&Timber may intervene by suspending the Vendor account, refunding affected customers, or holding Vendor payouts.
6. Returns and Refunds
Loft&Timber allows each Vendor to set their own return and refund policies, which must be clearly displayed in their storefront. However, the following minimum standards apply:
A Buyer must be allowed to return an item within 14 days of delivery if it is:
Damaged during shipment
Defective or malfunctioning
Misrepresented in the listing (wrong item, size, or appearance)
Vendors must respond to return requests within 72 hours.
Refunds must be issued promptly upon confirmed return receipt.
Custom or made-to-order items may be marked as “Final Sale” only if clearly stated prior to purchase.
If a dispute arises between a Buyer and Vendor and cannot be resolved directly, Loft&Timber may step in to mediate and will base any resolution on available communication records and return tracking. In cases of gross misconduct, Loft&Timber reserves the right to issue a refund directly and deduct the amount from the Vendor’s account.
7. Payment Terms
All transactions on Loft&Timber are processed through a secure third-party payment provider. Vendors will receive payouts for completed orders based on the following structure:
Payments are disbursed on a rolling basis (bi-weekly or monthly), less applicable platform and transaction fees.
Payouts may be delayed if an order is marked under review, returned, or disputed.
Loft&Timber may withhold a reserve amount from new vendors for risk mitigation during the initial 60-day period.
Vendors are responsible for providing accurate bank account and tax information in their dashboard.
Loft&Timber does not file or remit taxes on behalf of Vendors, unless legally required.
Payment disputes, chargebacks, or fraud will be investigated thoroughly. Vendors found violating payment integrity standards may have payouts suspended or permanently withheld.
10. Intellectual Property
Loft&Timber respects the intellectual property (IP) rights of others and expects Vendors to do the same.
You must own or have proper legal rights to all content you upload or use on your storefront, including:
Product images
Descriptions and marketing copy
Logos and brand marks
Digital patterns or designs
You may not infringe, copy, or manipulate the copyrighted, patented, or trademarked work of another party — including well-known brands, licensed characters, or proprietary furniture designs.
If you believe your IP rights have been violated on the Loft&Timber platform, please submit a formal DMCA or Trademark Violation Notice through our Contact Us page. Repeat violations of IP law may result in legal action and permanent account termination.
11. Account Suspension and Termination
Loft&Timber reserves the right to suspend, restrict, or terminate user accounts at its sole discretion. Common grounds for suspension include but are not limited to:
Repeated late shipments or unfulfilled orders
High refund or complaint rates
Uploading misleading or prohibited content
Failing to respond to platform communications
Engaging in abusive behavior toward Buyers, Staff, or other Vendors
Legal violations (e.g., fraud, counterfeit sales, mislabeling)
In cases of account termination:
Outstanding funds may be withheld to resolve claims or disputes.
All active listings will be removed.
Vendors may be permanently barred from rejoining the platform.
If you believe your account was terminated in error, you may appeal via our vendor support team within 14 days of the termination notice.
14. Limitation of Liability
To the maximum extent permitted by law, Loft&Timber and its officers, employees, affiliates, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
Loss of profits, data, revenue, goodwill, or business opportunities
Delays or disruptions in service
Vendor negligence or product defects
Customer dissatisfaction or disputes
Platform downtime or technical issues
Our total liability for any claim arising out of or relating to the use of the Loft&Timber platform is limited to the amount paid by you (or paid to you, if a Vendor) in the three (3) months preceding the event giving rise to the claim.
By using Loft&Timber, you acknowledge that your use is at your own risk and that Loft&Timber does not guarantee error-free or uninterrupted service.

This Vendor Agreement is a binding contract between you and Loft&Timber, governing your participation as a seller on the Loft&Timber multivendor marketplace platform.
By registering as a Vendor and listing products for sale, you confirm that you have read, understood, and agreed to be bound by this Agreement and all related policies, including but not limited to the Terms & Conditions, Privacy Policy, Shipping Policy, and Return & Refund Policy.
1. Eligibility and Vendor Account Setup
To become a Vendor on Loft&Timber, you must:
- Be at least 18 years of age and legally permitted to conduct business in your jurisdiction.
- Submit accurate and complete business details, including payout info, and contact details.
- Maintain a valid bank account for payouts.
- Agree to comply with applicable local, state, national, and international laws.
We reserve the right to accept, decline, or terminate vendor applications at our sole discretion.
2. Product Listings and Content Standards
As a Vendor, you are responsible for:
- Creating accurate, truthful, and descriptive listings for all products.
- Uploading high-quality images that you own or are authorized to use.
- Keeping product inventory, pricing, and shipping estimates up to date.
- Specifying whether a product is custom-made, final sale, or made-to-order.
- Avoiding prohibited items such as counterfeit goods, unsafe products, or items restricted by law.
Loft&Timber reserves the right to edit, delist, or reject any product listings that violate our standards or do not align with our brand image.
3. Order Fulfillment & Customer Service
Vendors must:
- Process and ship all orders within the advertised timeframe.
- Use reliable shipping carriers and provide tracking numbers for all shipments.
- Professionally package all items to avoid damage in transit.
- Communicate proactively with customers regarding delays, questions, or issues.
- Respond to customer inquiries within 48 hours.
- Handle returns and refunds according to the Return & Refund Policy.
Repeated shipping delays, unresponsiveness, or fulfillment failures may result in penalties or termination.
4. Vendor Conduct and Ethics
All Vendors must adhere to the following:
- Operate honestly and professionally at all times.
- Not engage in fraudulent activity, misrepresentation, or manipulation.
- Treat customers, Loft&Timber staff, and other vendors with respect.
- Not solicit off-platform sales or attempt to circumvent Loft&Timber.
- Only use customer data to fulfill orders. Not for marketing, resale, or storage.
Violation of these guidelines may result in suspension, withheld payments, or permanent removal.
5. Pricing, Payments & Commission
- Vendors control their product pricing.
- Loft&Timber charges a commission on each sale (see current Fee Schedule).
- Payouts are issued on a bi-weekly basis or per the terms of your Vendor Dashboard.
- Vendors are responsible for all applicable taxes, shipping costs, and payment processing fees.
- Loft&Timber may withhold payouts temporarily if an order is under investigation, in dispute, or flagged for fraud.
6. Returns, Refunds & Disputes
You must:
- Clearly state your return/refund policy on each product listing.
- Honor all valid return or refund requests initiated within our standard timeframe.
- Cooperate with Loft&Timber in resolving customer complaints and disputes.
- Issue prompt refunds for damaged, defective, or misrepresented items.
If a customer files a chargeback or dispute and you fail to respond, Loft&Timber reserves the right to refund the buyer and deduct the amount from your account.
7. Intellectual Property & Content Rights
You represent and warrant that:
- All images, logos, branding, and product descriptions you upload are your original work or properly licensed.
- You have the right to sell all products listed.
- Your use of Loft&Timber does not infringe on any third-party copyrights, trademarks, or intellectual property rights.
Loft&Timber retains the right to use product images and content for promotional or marketing purposes.
8. Tax Obligations
Vendors are solely responsible for:
- Reporting and remitting their own local, state, and federal taxes.
- Maintaining valid business and resale tax certificates if required.
- Including or excluding sales tax in prices, as applicable based on region.
We may provide tax calculation tools, but ultimate compliance remains the vendor’s responsibility.
9. Termination and Suspension
Loft&Timber reserves the right to suspend or terminate a vendor account, with or without notice, for:
- Breach of this agreement or any platform policies.
- Repeated customer complaints or poor performance.
- Selling prohibited, counterfeit, or unsafe products.
- Fraud, abuse, or violations of law.
Upon termination:
- All active listings will be removed.
- Pending payouts may be held to resolve open disputes.
- Reinstatement is not guaranteed.
10. Liability and Indemnification
You agree to:
- Accept full responsibility for the products you sell and your conduct on the platform.
- Indemnify and hold harmless Loft&Timber, its officers, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your business activities, including product liability claims, copyright infringement, or tax disputes.
Loft&Timber is not responsible for vendor misrepresentations, order fulfillment, or legal violations.
11. Relationship of the Parties
This Agreement does not create a partnership, joint venture, employment, or agency relationship. Vendors act as independent sellers and are not employees or agents of Loft&Timber.
12. Modifications
We reserve the right to modify this Agreement at any time. Significant changes will be communicated via email or your Vendor Dashboard. Continued use of the platform constitutes acceptance of the updated terms.
13. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws in your state, without regard to conflict of law principles. Any legal actions must be brought in the courts in your Jurisdiction.

4. Shipping Costs

Vendors are expected to respond within 48 hours.
Step 2: Escalate to Loft&Timber Support
If the vendor does not respond, refuses resolution, or the issue remains unresolved after a reasonable attempt at communication, the Buyer may escalate the issue to Loft&Timber within 14 days of delivery (or non-delivery).

- Allow reasonable time for the Vendor or Loft&Timber to respond and resolve the issue
Abusive or fraudulent behavior (false claims, threats, extortion) may result in account suspension or legal action.
6. Non-Qualifying Disputes
The following do not qualify for dispute resolution through Loft&Timber:
- Custom or made-to-order items marked as Final Sale
- Disputes initiated more than 30 days after delivery
- Buyer remorse or change of preference
